Draft minutes of the Annual General Meeting of Haddington Camera Club held in The Granary, Poldrate, Haddington on Tuesday 5 April 2011

1. Apologies for absence
Apologies for absence had been received from Calum Swinton, Andy Bennetts, Bill Bradford, Sarah Cousins, Jack Tully-Jackson.

2. Minutes of the last AGM
Minutes of the last AGM were available to members present. Approval of the minutes as a record of that meeting was proposed by Gordon Andrews, seconded by David Elder and approved by the members present.

3. President’s Report
The President reported on the year past starting with the Beginners’ workshop which had been a successful venture to be repeated.
External speakers had included Mark Davey from Calumet, Steve Smith from the RPS, Steve Wallace from RCAHMS, Peter Clarke, nature photographer and Ken Fairley and Alan on Forensic Photography. He also thanked the team of members who presented the results of their travels in the Outer Hebrides.
The President said that even without a Competition Secretary the club had successfully run the usual internal competitions and taken part in four Interclub competitions with mixed results.
The snow in November had provided a big challenge to the smooth running of the syllabus but most events had been successfully rearranged.
He thanked the four retiring members of the committee, Lesley Clarke, Ann Clark, Calum Swinton and Graham Stirling for their contribution to the smooth running of the Club. Lesley Clarke would be continuing to administer the Club website.
He concluded by thanking all the committee members for their support during the year and felt that the future for the Club with its strong membership and enthusiasm looked bright.

4. Treasurer's Report
The Treasurer submitted accounts for the past year. He felt that the financial situation of the Club was satisfactory with around ?1100 balance in the Club’s account. The accounts would be audited shortly. In response to a question from Ian McLean regarding some bracketed items he explained these were reimbursements to himself not deficits. These payments had been necessary at a time prior to the setting up of a new bank mandate following a change of Club cheque signatories last year.

5. Subscriptions
In view of the sound Club finances the Treasurer recommended that the subscription for the 2011/12 season should be unchanged.
Acceptance of the accounts and freezing of the Club subscription was proposed by Graham Stirling and seconded
by Mike Hollingsworth.

6. Proxy voting
The President said that a member had raised the issue of proxy voting, provision for which was absent from the Club’s constitution. The Club’s committee had felt that this was sensible addition to recommend to the members.
Accordingly a motion proposing a suitable clause was put to the meeting.

‘Any paid up member shall be entitled to appoint a proxy to vote on their behalf at an AGM or Special General Meeting of the Club. The proxy must be a paid up member of the Club and must present a signed proxy form at the meeting.
Alternatively a member may appoint the President to vote on their behalf by sending a signed proxy form to the Secretary or other appropriate Club official prior to the AGM or Special General Meeting’

Acceptance of this addition was proposed by Graham Stirling and seconded by Michael Shakspeare. The President confirmed that Proxy forms would be prepared and made available at future business meetings of the Club.

7. Competition Rules
The President said that some confusion had arisen over interpretation of the wording of the competition rules in relation to the awarding of Certificates of Merit. A clarification of this clause was proposed viz.

‘Certificates of Merit will be awarded in the following categories.
First Exposure, Theme and Monochrome Competitions;
Highest scoring single print
Highest scoring single projected image
Highest scoring Beginner (total prints and / or projected images)
Annual Competition;
Highest scoring Beginner (total prints and / or projected images)

Acceptance of this clarification was proposed by Mike Hollingsworth and seconded by Harry Paton.

8. Election of Office Bearers and Committee
President: (Michael Thomson retired from the meeting) Mike Shakspeare noted that Michael was willing to continue as President and there being no other nominations he was duly proposed by Mike Hollingsworth and seconded by Mike Shakspeare. (The President reassumed the Chair)
Treasurer: Mike Shakspeare indicated he was willing to continue to serve and was duly proposed by Graham Stirling and seconded by Liz Wheelans.
Secretary: Tony Hole was proposed by Liz Wheelans and seconded by Graham Stirling
Competition Secretary (joint): Liz Wheelans was proposed by Sheena McDougall and seconded by Harry Paton.
Committee: Liz Howie proposed by Liz Wheelans and seconded by Jean Inglis.

No further nominations for committee members were received.

9. A.O.C.B.
Gordon Andrews said that there was an inconsistency between the competition rule regarding images being used only once in any internal Club competition and the wording of the Annual Competition section of the rules which states that ‘..and should represent the best of members’ work’. It was agreed that the principle of promoting fresh work should be followed and the aforementioned phrase was to be removed from the rules.
Gordon Andrews also asked whether the set subject Theme competition could be reinstated. In discussion this too was felt to endanger the principle of encouraging fresh and varied work and rejected.

10. Presentation of Trophies and Certificates
The President presented the Trophies and Certificates of Merit to the season's winners.

The President congratulated all the winners but emphasized the continuing importance to the well being of the Club of those members who had not attained prizes.

11. Closing remarks
The President alerted members to a forthcoming lecture by Neil McIntyre being organized by Beeslack Camera Club on Thursday September 29th 2011.

The Camera Club Exhibition of prints as part of the Haddington Festival would be mounted in St Mary’s Church from Saturday 28th May to Sunday 5th June.

The Club would be organizing some outings over the Summer period and members would be notified in the usual manner.

The President then declared the meeting closed.
